Terms of Use

Welcome to the website and mobile application operated under the brand name “Roma” (which we refer to in these Terms of Service as the “Platform”, which also refers to any content, functionality, and services offered on or through the website and/or mobile application). Services offered through the Platform provided by Roma shall be provided by our various group entities depending on the region you are in and the services that you opt for. Varni Labs FZE, a company incorporated in and under the laws of the Emirate of Dubai, United Arab Emirates; and Varni Labs Spółka Z Ograniczoną Odpowiedzialnością, a company incorporated in and under the laws of Poland provide licensed services related to Virtual/Digital Assets in their respective jurisdictions. The technology platform provided by Roma is provided by Varni Labs Pte Ltd, a company incorporated under the laws of Singapore

These Terms of Service (these “Terms”) are in place to govern your use of, and access to, the Platform. Varni Labs FZE, Varni Labs Spółka Z Ograniczoną Odpowiedzialnością and Varni Labs Pte Ltd (together with their affiliates) are referred to in these Terms, as “us,” “we,” “our,” and/or “Roma.” When we refer to “you” and “your” in these Terms, we are referring to you as a visitor to and user of the Platform. In addition to these Terms, your use of the Platform is governed by all other policies posted on or made available through the Platform (referred to collectively as our “Platform Policies”), including our Privacy Policy, available here. All of the other Platform Policies are incorporated by reference into these Terms. In addition to the Platform Policies, if you choose to avail of any services provided by us you shall be required to execute appropriate legal documentation to record your understanding and agreement to the terms of the particular services that you avail from us. Such legal documentation along with the Platform Policies shall form the complete, legally binding agreement between you and us
1. Acceptance of Terms
By visiting/accessing the Platform, you are agreeing to be bound by these Terms, which are a binding contract between you and us. If you do not wish to agree to abide by these Terms or any other Platform Policy, you should not access or otherwise use the Platform.
2. Electronic Communications
Roma may be required to provide certain legal and regulatory disclosures, periodic statements and confirmations, notices, tax forms and other communications (collectively “Communications”) to you in written form. By agreeing to these Terms, you consent to Roma delivering such Communications to you in electronic form, including e-mail. Consent for electronic delivery applies to every year the Communications are furnished. If you no longer have access to your account to receive the Communications in electronic format then you may request the Communication in written form. You agree that all terms and conditions, agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement such communications would satisfy if they were provided in writing. Roma will use reasonable efforts to honor any request you may have to opt out from receiving certain e-mails. With respect to these Terms, you waive any rights to require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent such waiver is not prohibited under applicable law.
3. Registration
Basic access to the Platform is publicly accessible. However, to use certain features of our Platform, you must complete the registration process and then complete Roma’s account opening procedures. First, you must register for an account by verifying your email address. Upon registering your account, a Roma Account will be created for you to access your application and other resources. You agree that the registration and other information you provide to open an account is accurate, complete and current. You further agree to promptly update that information to keep it accurate, complete and current. YOU UNDERSTAND THAT A CHANGE IN YOUR STATE OF RESIDENCE MAY IMPACT YOUR ELIGIBILITY TO ACCESS AND USE THE ONLINE PLATFORM, AND HEREBY AGREE TO NOTIFY US IN ADVANCE OF ANY CHANGE IN YOUR STATE OF RESIDENCE. If you register on behalf of a business entity or other organization, you represent and warrant that you have the authority to provide the information required and to bind the organization to the Terms. You acknowledge and agree that Roma, in its sole discretion, may suspend or discontinue your, and refuse any and all current and future, access to or use of your Roma Account at any time without notice to you.
4. Identification, Account Opening, and Regulatory Compliance
Roma is dedicated to prohibiting and actively preventing money laundering and any activity that facilitates money laundering or the funding of terrorist or criminal activities by observing regional requirements imposed on financial institutions. To that end, Roma may collect certain information regarding you and your operations pursuant to your internal procedures/policies/programs. Your access to and use of the services offered by Roma is/are subject to compliance with Roma’s compliance policies and programs. We also may obtain personal information related to you, from third parties in order to verify your identity, or to prevent fraud. Personal information collected from any source may include, among other things, your name and address, Social Security or taxpayer identification number, and date of birth. You certify under penalty of perjury that the information provided is correct. You hereby authorize us, or a third-party service provider that we designate, to take any measures that we consider necessary to confirm the personal information you provide, verify and authenticate your personal information, and take any action we deem necessary based on the results. You acknowledge that this process may result in a delay in registering your Roma Account, and that you may not be authorized to access or use your Roma Account until your registration has been successfully completed. As part of our legal compliance program, moreover, we will monitor your Roma Account and your use of the Platform, and review your personal information on an ongoing basis, as may be required by law or pursuant to our internal policies and procedures. At any time, we may require you to provide us with additional personal information as a condition to your continued access to and use of your Roma Account. During such time, your access to and use of your Roma Account may be temporarily restricted.
5. Accuracy of Customer Submitted Information
You agree that any information that you provide (about your identity, finances, and relationships) is accurate, correct, and up to date. You agree that you are 18 years of age or older; able to form a binding contract with us; and are acting on your own behalf (and have not been banned, terminated, or otherwise denied access to the Platform by Roma or by law). As a condition of using Roma’s Platform and services, you certify under the relevant law applicable in your jurisdiction and Singapore as well as the United States of America (without regard to conflict of laws) relating to misrepresentation:

  1. a.
    The identification information (including but not limited to Social Security Number(s) or Employer Identification Number(s) as the case may be) you provide is correct; and
  2. b.
    You are not subject to backup withholding due to the failure to report interest and dividend income.
  3. c.
    You may be required to verify the account details related to the Transactions.
  4. d.
    By submitting information, feedback or other material to Roma, including on or through the Platform or your Roma Account, you:
    1. i.
      acknowledge that such information is non-confidential, except for any personal and financial information;
    2. ii.
      grant Roma a perpetual, worldwide, royalty-free, irrevocable, transferable, sublicenseable, fully paid-up right to copy, use, reproduce,modify, adapt, publish, create derivative works from, translate, transmit, display, distribute, market, promote, sell or offer for sale, rent or lease such information or materials in any form or medium known or later developed; and
    3. iii.
      agree that you will have no claim against for any actual or alleged infringement of any proprietary rights, rights of privacy or publicity, moral rights or rights of attribution in connection with our use of any content you provide.
6. Social Media Accounts and Third-Party Sites
In addition to our Platform, we also like to interact with you on third party sites where we post content or invite your feedback, such as through our accounts on Facebook, Twitter, Instagram, and LinkedIn (“Social Media Sites”). In addition, we and others may provide links from our Platform to web pages, websites, and other resources or locations on the web (including the Social Media Sites, “Third Party Sites”). Please note that we do not control any Third Party Sites. The links to Third Party Sites that we make available are for your convenience. These Terms and our other Platform Policies do not apply to any Third Party Sites. It is your responsibility to review the terms of use and other policies, including privacy policies, posted on the social media sites and other Third Party Sites.
7. Fees, Exchange Rates and other charges
  1. i.
    You are responsible for paying the fees associated with the use of the Services. The Transaction Fees are determined based on the specific Transaction type, such as buying or selling Digital Assets, and are displayed prior to the completion of the Transaction. You agree to pay the Transaction Fees as specified by Roma.
  2. ii.
    You acknowledge that the exchange rate is subject to fluctuations.
8. Risk Disclosures
  1. i.
    The Transactions related to the Services carry a high level of risk. Due to the nature of Digital Assets, there is an inherent risk and if must be aware of and understand the risks involved.
  2. ii.
    Certain Transactions in Digital Assets may be irreversible, and accordingly, losses due to fraudulent or accidental transactions may not be recoverable.
  3. iv.
    The legislative and regulatory landscape around Digital Assets is constantly changing and may affect your ability to use, transfer, or exchange your Digital Assets.
9. Intellectual Property Ownership Notice
This Platform and all content contained on herein, including all brand names, product names, logos, graphics, photographs, text, copyrights, service marks, and trademarks are our exclusive property. You may not copy, reproduce, republish, post, distribute, transmit, or modify or otherwise use in any way any part of the Platform or any content contained on the Platform without the express prior written consent of Roma. Except as explicitly permitted by the Terms, you may not, and you may not allow others to, sell, copy, modify, correct, enhance, create derivative works from, publish, store or in any way distribute or otherwise exploit, including for any purpose competitive to Roma, any Content. You may not, and you may not allow others to: (i) decompile, reverse engineer, convert or otherwise extract or disclose the underlying script, code (whether binary, assembly, source, object, HTML or otherwise) or structure of any Content, or (ii) remove or alter authorship attribution or copyright notices or similar information on the Platform or any products or materials embodying or containing any Content. You further agree not to reverse engineer, hack, spam, block, disrupt, or otherwise in any way attempt to change or alter the Platform. Violating these Terms may subject you to legal liability. Our trademarks and logos, including the name “Roma” and all related names, logos, products names, designs, and slogans used and displayed on the Platform are our (or our licensors’) trademarks. You may not use any of these trademarks without our prior written permission. In addition, you may not use any metatags, meta elements, “hidden text,” or other equivalents using our names without our prior written permission.
10. Indemnification
You agree to defend, indemnify, and hold us completely harmless and our officers, directors, shareholders, agents, and employees from and against any and all claims, damages, costs, and expenses (including attorneys’ fees), including claims based upon the negligence of Roma, arising from or related to your use of the Platform and any sites linked to the Platform, your negligence, your breach of these Terms or any other Platform Policies, and/or your violation of any law or the rights of a third party.
11. Disclaimer of Warranties and Limitation of Liability
The Platform is made available to users “AS IS” without any warranty of any kind. Roma makes no representations, guarantees, or warranties regarding the accuracy, reliability, confidentiality, or completeness of the Platform. Roma, TO THE GREATEST EXTENT PERMISSIBLE BY LAW, DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED. FURTHER, ROMA DOES NOT WARRANT OR REPRESENT THAT THIS PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE IS ERROR-FREE OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR FREE OF DEFECTS, INCLUDING COMPUTER VIRUSES, WORMS, BUGS, TIME BOMBS, OR ANY OTHER SIMILAR PROBLEMS AND/OR DEFECTS. ROMA WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND INCLUDING COMPENSATORY, SPECIAL, INCIDENTAL, EXEMPLARY, LOST PROFITS, LOSS OF REVENUE, AND/OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR ACCESS TO OR INABILITY TO ACCESS THIS PLATFORM, OR YOUR USE OF OR RELIANCE UPON THIS PLATFORM OR ANY OF ITS CONTENT. IN ADDITION, Roma HAS NO DUTY TO UPDATE THIS PLATFORM OR ANY OF ITS CONTENT, AND ROMA WILL NOT BE LIABLE FOR ANY FAILURE TO UPDATE SUCH INFORMATION. FURTHER, ROMA IS NEITHER RESPONSIBLE NOR LIABLE FOR YOUR USE OF OTHER WEB SITES THAT YOU MAY ACCESS VIA LINKS WITHIN THIS PLATFORM. THOSE LINKS AND OTHER RESOURCES REFERENCED ON THIS PLATFORM ARE PROVIDED MERELY AS A SERVICE TO USERS, AND INCLUSION ON THE PLATFORM DOES NOT CONSTITUTE AN ENDORSEMENT BY NOR AFFILIATION WITH ROMA.
12. Modifications to these Terms
Roma reserves the right to update, revise, supplement, modify or amend these Terms at any time. Any update, revision, supplementation, modification or amendment will be effective immediately upon its posting on the Platform. You can review the most current version of these Terms at any time by accessing the section of the Platform labeled “Terms of Use,” and you are expected to check this page from time to time to take notice of any changes that we made to the Platform or these Terms. You understand and agree that your continued access to or use of the Platform or your continued operation of your account after any posted update to these Terms indicates your acceptance of these Terms as updated, even if you did not take the time to read them.
13. We do not provide legal, investment or other advice
Roma is not a lawyer, a law firm, investment manager, investment advisor or an accountant. Nothing on this Platform is intended to constitute legal, investment or tax advice. The past performance of any product, investment, loan, security, partnership interest, commodity or financial instrument is not a guide to future performance. WITHOUT LIMITING ANYTHING IN THE TERMS, ROMA MAKES NO WARRANTIES AND BEARS NO LIABILITY WITH RESPECT TO ANY OF ITS PRODUCTS OR THE PERFORMANCE THEREOF.
14. Complaint Redressal
  1. i.
    If you have any complaints regarding the Services, please contact our dedicated support team at[email protected]. We are committed to addressing and resolving any complaints in a timely and fair manner.
  2. ii.
    Upon receiving a complaint, Roma will conduct an independent investigation and provide a written response to the complainant. We aim to respond to complaints within thirty (30) days of receipt of the written complaint with our final response.
  3. iii.
    Complaints will be reviewed on a first-come, first-considered basis, and we suppose a complaint does not include all necessary information. In that case, we may request the complainant to supplement the required data, and the thirty (30) day period will commence upon receipt of the supplemented complaint. In some instances, where reasonable, we may extend the complaint handling period by an additional fourteen (14) days, which will be communicated to the complainant.
  4. iv.
    We will notify the complainant of how the complaint has been handled in the same manner in which the complaint was lodged.
